These Terms of Service ("Terms") govern your access to and use of the website located at apexaidev.com and any related tools, demos, and services (collectively, the "Site"), operated by Apex AI LLC ("Apex AI," "we," "us," or "our"). Please read them carefully. By accessing or using the Site, or by submitting information through any form or tool on the Site, you agree to these Terms. 1. Who We Are and What the Site Does

Apex AI is an AI automation and web development agency. The Site is primarily a marketing and lead-generation site. It lets you learn about our services, request an automated review of your website (the "Instant AI Audit"), estimate potential value using our ROI tools, interact with our AI discovery assistant, and request or schedule a consultation. The Site is intended for business use by people acting on behalf of a company or organization.

2. Eligibility and Authority

You must be at least 18 years old to use the Site. If you use the Site on behalf of a business, you represent that you are authorized to do so and to accept these Terms on that business's behalf.

3. Information You Submit

When you use our forms or tools, you may provide information such as your name, business email, company name, website address, and details about your business needs. You agree that the information you provide is accurate and that you have the right to share it. You grant us a limited license to use the information you submit to respond to your inquiry, provide the requested tools and outputs, follow up about our services, and improve the Site, all consistent with our Privacy Policy.

If you submit a website address or other materials for analysis (for example, through the Instant AI Audit), you represent that you own that website or are authorized to request its analysis.

4. AI Tools and Automated Outputs

The Site includes automated tools such as the Instant AI Audit, ROI calculators, and an AI discovery assistant. These tools generate outputs using automated systems and the limited information available to them.

You understand and agree that:

• Outputs are provided for general informational purposes only and are estimates, not guarantees.
• Projected results, savings, timelines, or opportunities are illustrative and depend on facts specific to your business that the tools may not fully capture.
• Outputs are not legal, financial, tax, cybersecurity, or other professional advice, and should not be relied on as a substitute for professional judgment or a formal engagement with us.
• We do not warrant that any output is accurate, complete, or current.

Any engagement for actual services will be governed by a separate written agreement, which controls over these Terms in the event of a conflict.

5. Acceptable Use

You agree not to:

• Use the Site or its tools for any unlawful purpose or in violation of these Terms;
• Submit a website or materials for analysis that you do not own or are not authorized to submit;
• Attempt to gain unauthorized access to the Site, its underlying systems, or any data;
• Interfere with or disrupt the Site, including by submitting automated or excessive requests, introducing malicious code, or bypassing our security measures, including bot-protection tools;
• Scrape, harvest, or reverse engineer the Site, its tools, or their outputs;
• Misrepresent your identity or your authority to act for a business.

6. Intellectual Property

The Site and its content, including text, graphics, logos, software, and the design and output format of our tools, are owned by or licensed to Apex AI and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Site for your own internal business evaluation. You may not copy, modify, distribute, sell, or create derivative works from the Site or its content without our prior written permission.

Outputs generated specifically for you by our tools may be used by you for your internal evaluation purposes. This does not transfer ownership of the underlying tools, models, or templates.

7. Third-Party Services and Links

The Site relies on and may link to third-party services, including hosting, database, CRM, scheduling, analytics, and AI processing providers. We are not responsible for the content or practices of third-party services, and your use of any linked third-party service is subject to that provider's own terms and privacy policy.

8. Disclaimers

The Site is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding the accuracy or reliability of automated outputs. We do not warrant that the Site will be uninterrupted, error-free, or secure.

9. Limitation of Liability

To the fullest extent permitted by law, Apex AI and its members, officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or business, arising out of or relating to your use of the Site or reliance on any output. Our total liability for any claim relating to the Site will not exceed one hundred U.S. dollars ($100).

10. Indemnification

You agree to indemnify and hold harmless Apex AI from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Site, the information or materials you submit, or your violation of these Terms.

11. Governing Law and Venue

These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to their jurisdiction.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
